Definitions

“Agency” refers to Creatoos Advertising Agency. “Client” refers to the individual or entity engaging the Agency’s services. “Services” refers to the advertising and marketing services provided by the Agency.

Scope of Services

2.1 The Agency will provide advertising and marketing services as agreed upon in a separate Statement of Work (SOW) or contract.

2.2 Any additional services not specified in the SOW will be subject to additional fees and a separate agreement.

Client Responsibilities

3.1 The Client agrees to provide all necessary information, materials, and approvals in a timely manner to facilitate the Agency’s work.

3.2 The Client is responsible for the accuracy and legality of all information provided to the Agency.

Fees and Payment

4.1 Fees for services will be outlined in the SOW or separate agreement.

4.2 Invoices are due within 30 days of receipt unless otherwise specified.

4.3 Late payments are subject to a 1.5% monthly interest charge.

Intellectual Property

5.1 The Agency retains ownership of all original concepts and ideas presented to the Client, whether used or unused.

5.2 Upon full payment, the Client is granted a license to use the final deliverables for the purposes outlined in the SOW.

5.3 The Agency reserves the right to use the work for portfolio and promotional purposes.

Confidentiality

6.1 Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement.

Termination

7.1 Either party may terminate the agreement with 30 days written notice.

7.2 The Client is responsible for payment of all services rendered up to the date of termination.

Limitation of Liability

8.1 The Agency’s liability is limited to the total fees paid by the Client for the specific project in question.

8.2 The Agency is not liable for any indirect, consequential, or incidental damages.

Indemnification

9.1 The Client agrees to indemnify the Agency against any claims, damages, or losses arising from the Client’s provided materials or information.

Amendments

10.1 These Terms and Conditions may be amended by the Agency with 30 days notice to the Client.

Governing Law

11.1 These Terms and Conditions are governed by the laws of [insert applicable jurisdiction].

By engaging the services of Creatoos Advertising Agency, the Client agrees to these Terms and Conditions.
